1. Acceptance of Terms
These Terms & Conditions ("Terms") govern your access to and use of 101co.com and the related products and services provided by 101 MGMT, LLC, a Delaware Limited Liability Company ("Company," "we," "us," or "our") (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
2. Elegibility
You must be at least 18 years old to use the Services. If you use the Services on behalf of an organization, you represent you have authority to bind that organization and "you" includes the organization.
By accessing any investor-related content, you represent and warrant that you are an accredited investor and/or qualified purchaser, as applicable, under U.S. securities law
3. PRIVACY
Our Privacy Policy explains how we collect and use information. By using the Services, you agree to our Privacy Policy: 101co.com/Privacy.
4. License and Permitted Use
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes (or personal use, as applicable) in accordance with these Terms.
5. Prohibited Uses
You may not:
Violate laws or regulations
Infringe intellectual property or other rights
Attempt to access non-public areas or interfere with security features
Upload malware, scrape the Services at scale, or attempt to reverse engineer, except to the limited extent permitted by law.
Use the Services to harass, defraud, or harm others
Misrepresent your identity or affiliation
6. User content (If Applicable)
If you submit content ("User Content"), you represent you have the right to submit it, and it does not violate law or third-party rights.
For clarity, typical User Content includes information you submit through contact or inquiry forms.
You grant 101 MGMT, LLC a license to host, reproduce, and display User Content solely to provide and improve the Services.
We may remove User Content that violates these Terms.
7. INTELLECTUAL PROPERTY
The Services, including software, text, graphics, logos, and content (excluding User Content), are owned by or licensed to 101 MGMT, LLC and are protected by intellectual property laws.
You may not copy, modify, distribute, or create derivative works except as expressly permitted.
8. No Investment, Legal, or Tax Advice; No Offer of Securities
Content is for informational purposes only and does not constitute investment, legal, tax, or other professional advice. Nothing on 101co.com is an offer to sell or solicitation of an offer to buy any security; any offering is made only via formal offering documents to qualified investors.
9. THIRD-PARTY SERVICES AND LINKS
The Services may integrate with or link to third-party services. We are not responsible for third-party content, policies, or practices. Your use of third-party services may be governed by their terms.
10. Service Availability and Changes
We may modify, suspend, or discontinue the Services (in whole or part) at any time. We may also update these Terms as described in Section 17.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, 101 MGMT, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 101 MGMT, LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.
IN NO EVENT WILL 101 MGMT, LLC’S TOTAL LIABILITY EXCEED THE AMOUNTS YOU PAID TO 101 MGMT, LLC FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $1 IF YOU HAVE NOT PAID ANY AMOUNTS.
13. Indemnification
You agree to indemnify and hold harmless 101 MGMT, LLC and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms.
Termination
We may suspend or terminate access to the Services if you violate these Terms or if we reasonably believe your use creates risk for 101 MGMT, LLC, other users, or third parties.
You may stop using the Services at any time. Sections that by their nature should survive will survive termination.
15. Governing Law
These Terms are governed by the laws of Delaware, without regard to conflict-of-laws principles.
16. Dispute Resolution, Arbitration, and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services ("Dispute") shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be conducted in Delaware, or another mutually agreed location, and judgment on the award may be entered in any court having jurisdiction.
CLASS ACTION WAIVER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND 101 MGMT, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Exceptions: Either party may seek relief in a small claims court for disputes within that court's jurisdiction. Nothing in this section limits either party's right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
17. Changes to terms
We may update these Terms from time to time. We will post the updated Terms and revise the "Last Updated" date. If changes are material, we may provide additional notice. Continued use after the effective date means you accept the updated Terms.
18. No Waiver/Severability
Failure to enforce a provision is not a waiver. If one clause is invalid, the rest still stand.
19. Entire Agreement
These Terms and Conditions and Privacy Policy are the entire agreement between you and us regarding the Services.
20. Electronic Consent
By using the Services, you agree to transact electronically, and electronic records/acceptance satisfy any legal requirement for a written signature.
